John Halula maintains an active practice in the areas ofreal estate, and institutional and consumer finance. He has twenty yearsexperience in these areas. In the real estate area, he represents clients intransactions involving sales, acquisitions, sale-leasebacks, ground leases,building and space leases, and like-kind exchanges of real property and relatedpersonal property.

In the area of institutional finance, Mr. Halula represents various types ofdomestic and international lenders providing construction and permanentfinancing for multifamily residential, retail, office and industrial projects.These include banks, insurance companies, and credit companies. He concentratesin real estate secured, asset based and balance sheet financings, at theirinception, renewal, and (trouble debt) restructuring. Such representation oftenincludes documentation of multi-lender credits such as participations,syndications (including A-B note structures) and intercreditor arrangements. Hisexperience also includes involvement in multi-state mortgage financings. Additionally, he has developed substantial experience representing providers ofcredit enhancement, such as letters of credit, in municipal financetransactions.

Mr. Halula assists conduit lenders in the origination of mortgage loans to bepledged as security for mortgage pass-through certificates and is experiencedwith the issues typically arising with such transactions including SPErequirements, non-consolidation opinions, earn-outs, and lock-boxarrangements.

In the area of consumer finance, Mr. Halula provides counseling in theFlorida Consumer Protection Laws, Mortgage Brokerage Act, and the federaltruth-in-lending laws to a variety of banks, mortgage lenders and creditcompanies.

Mr. Halula has lectured on real estate finance topics and is an adjunctprofessor of law at the University of Miami School of Law.
