About the lawyer
Vered Rabia joined Skadden, Arps in 1998 and is active in all areas of the firms real estate practice, including acquisitions, dispositions, developments, financings, restructurings, partnerships and joint ventures, lodging and restaurant development, and real estate debt and equity fund formations.
Ms. Rabia has represented many clients in connection with the acquisition, financing, development and disposition of office buildings, hotels, resorts and residential developments, including TPG Capital, RREEF America, AREA Property Partners, Silverstein Properties, André Balazs, Ian Schrager, the Estate of Leona M. Helmsley, the Trump Group, SL Green Realty Corp. and The Hearst Corporation.
Ms. Rabia is currently representing Culture Shed, Inc., a not-for-profit corporation, in the development of a new state-of-the-art cultural facility in New York, RREEF America L.L.C. in the formation of a real estate debt fund, and the estate of Leona M. Helmsley in connection with the disposition of certain assets owned by the estate. Ms. Rabia recently advised TPG Capital in its approximately $450 million acquisition of Assisted Living Concepts, Inc., an owner and operator of 210 senior living residences in 20 states. Other clients Ms. Rabia has advised include Bank of America, N.A. in the acquisition and development of the banks New York City office headquarters, Alexandria Real Estate in its ground lease from the city of New York for the development of the East River Science Park, the first private bioscience project in New York City, Madison Square Garden in the development of a new sports and entertainment arena, Fortress Investment Corp. in connection with the restructuring of debt of Intrawest, an owner and operator of ski resorts, a joint venture in the development of a mixed-use hotel, casino and retail project on the Cotai strip in Macau, and Silverstein Properties in connection with the restructuring of certain mortgage debt facilities.
Ms. Rabia also represents numerous funds in connection with their formation, capital raising, subscription financing and restructurings, including AREA Property Partners and RREEF America, and advises major lending institutions, including Deutsche Bank and Fortress Investments, and borrowers in the origination of mortgage loans, securitized real estate loans, mezzanine loans, construction loans and unsecured revolving credit facilities.
In addition, Ms. Rabia represented Wenner Media, Inc. in a licensing agreement related to the development of hotels and casinos using the Rolling Stone brand, the New York Restoration Project, a not-for-profit organized by Bette Midler, in the acquisition and renovation of neglected parks, and the Lower East Side Tenement Museum, a not-for-profit museum, in connection with a bond financing. She also is representing Harlem RBI, a not-for-profit organization, in connection with the development of a new charter school. Ms. Rabia was included in The Best Lawyers in America 2013 and 2014.
