I help financial institutions and businesses of all types to get their deals done and achieve their strategic objectives. My practice includes the following:

Leveraged Finance

I represent banks, subordinated and other lenders and corporate borrowers in financings, including secured and unsecured, syndicated and single bank, working capital and asset-based transactions, EB-5 financings, subordinated note purchases, acquisition financings and debt restructurings. I am also experienced in negotiating intercreditor agreements and subordination agreements.

Project Finance

In addition to the stadium project financings referenced below, I have worked on project financings of solar plants, energy storage facilities, fertilizer plants and infrastructure. Most recently, I worked with our project finance team on the $1.8 billion financing of a fertilizer plant.

Mergers and Acquisitions

I represent buyers and sellers of businesses in leveraged and other acquisitions, recapitalizations, restructurings and dispositions, both domestically and internationally. That experience includes transactions involving companies involved in manufacturing, food, health care and medical devices.

Sports

I am experienced representing governmental and private entities in professional sports matters involving NFL, MLB, NBA and NHL teams and their stadiums and arenas. This experience includes work on the stadium financings for the Yankees, Mets, Giants, Jets, Twins and Nets, representation of the County of Erie in connection with the Buffalo Bills lease and related Ralph Wilson stadium renovations, and work on a team bankruptcy and asset sale.

I also advise clients on corporate, limited liability company and partnership matters and joint ventures. I have worked closely with our health care team on structuring, governance and finance matters involving our health care clients.
