Clay Littlefield, a partner based out of the firms Charlotte and NewYork offices, is a member of the Federal and International Tax group. Clayspractice concentrates on tax issues confronted by underwriters, issuers andinvestors participating in structured finance transactions, including mortgageand asset-backed securitizations, REMICs, CLOs, REITs, and similar structures.Clays practice also focuses on advising financial institutions on the tax andlegal aspects of various structuring alternatives and investment productproposals, as well as providing counsel to U.S. and foreign clients inconnection with mergers and acquisitions, distressed asset arrangements andreal estate and corporate finance issues.

Prior to joining Alston Bird, Clay was an attorney with theInternal Revenue Services Office of Associate Chief Counsel, Division ofFinancial Institutions and Products, where he was involved in the review andimplementation of the special tax laws applicable to banks and other financialinstitutions, structured finance and securitization transactions, hedgingarrangements and financial derivatives.
