Bens private debt fund practice consists of the structuring and negotiation of non-dilutive capital investments, with a particular focus on the healthcare industry. • Represented a private debt fund, as agent and lender, in connection with a $200 million secured term loan facility to finance an add-on acquisition by a sponsor-owned healthcare services company
• Represented a private debt fund, as agent and lender, on a $50 million secured term loan facility for a medical device company. The transaction involved the structuring and negotiation of intercreditor arrangements with another lender providing a revolving credit facility to the company
• Represented a national bank, as the administrative agent and left lead arranger, on a $550 million secured credit facility for a concrete company. The credit facility was used, in part, to finance various add-on acquisitions
• Represented a national bank, as the administrative agent and left lead arranger, in connection with a $116.5 million unsecured term loan facility to an information services company
• Represented a national bank, as the administrative agent and left lead arranger, on a $325 million secured credit facility to provide acquisition financing to a manufacturing company
• Represented a national bank, as the administrative agent and left lead arranger, on an investment grade $2.6 billion multi-currency credit facility to an automotive parts distributor to provide acquisition financing for a cross-border acquisition
• Represented a national bank, as the administrative agent and left lead arranger, on a $350 million secured credit facility to finance the acquisition of a publicly traded sports and entertainment company in a go-private transaction
• Represented a private debt fund, as agent and lender, on a $75 million secured term loan facility to, and direct equity and warrant investments in, a medical device company
